Tercescrow Terms of Use

Welcome to Tercescrow! These Terms of Use (“Terms”) govern your access to and use of the Tercescrow mobile application (“App”) and related services, including Gift Card Trading, Crypto Trading, and Bill Payments (collectively, the “Services”). The App is operated by Tercescrow Inc. (“we,” “us,” or “our”), located at [Your Address], Lagos, Nigeria. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Acceptance of Terms

By using the App, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. You also agree to comply with all applicable laws and regulations. We may update these Terms periodically, and we will notify you of material changes via email, in-app notifications, or by posting the updated Terms on our website. Continued use of the App after changes constitutes your acceptance of the revised Terms.

2. Description of Services

The App provides the following Services:

  • Gift Card Trading: Buy and sell gift cards from brands such as Amazon, iTunes, Google Play, and others.

  • Crypto Trading: Buy and sell cryptocurrencies, including Bitcoin, Ethereum, USDT, and others, through secure transactions.

  • Bill Payments: Pay for airtime, data, cable subscriptions, internet, betting account funding, electricity bills, and other utilities.

We act as a platform to facilitate these transactions, often using an escrow system to ensure security. We do not guarantee the availability of specific gift cards, cryptocurrencies, or billers, and Services may vary by region.

3. Account Registration and Responsibilities

a. Account Creation

To use the Services, you must create an account by providing accurate information, including your name, email address, phone number, and a secure password. You may also need to provide identity verification documents (e.g., government-issued ID) to comply with anti-money laundering (AML) and know-your-customer (KYC) regulations.

b. Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials.

  • All activities conducted under your account.

  • Notifying us immediately at support@tercescrow.com if you suspect unauthorized access.

We are not liable for losses resulting from unauthorized use of your account due to your failure to secure your credentials.

c. Account Restrictions

You agree not to:

  • Create multiple accounts to bypass restrictions or manipulate transactions.

  • Share your account with others.

  • Use the App for illegal or unauthorized purposes.

We reserve the right to suspend or terminate your account for violations of these Terms.

4. Use of Services

a. Gift Card Trading

  • You may buy or sell gift cards through the App, subject to availability and our verification processes.

  • You must ensure gift cards are valid, unused, and not obtained fraudulently.

  • We are not responsible for losses due to invalid or fraudulent gift cards provided by you or third parties.

b. Crypto Trading

  • You may buy or sell supported cryptocurrencies using our platform.

  • Transactions are subject to market rates and fees, which are displayed in the App.

  • You are responsible for understanding the risks of cryptocurrency trading, including price volatility and regulatory changes.

  • We use secure escrow to protect funds during trades, but we are not liable for losses due to market fluctuations.

c. Bill Payments

  • You may pay bills (e.g., airtime, electricity) or fund accounts (e.g., betting) through the App.

  • You must provide accurate biller or account details to ensure successful payments.

  • We are not responsible for delays or errors caused by incorrect information or third-party biller systems.

d. Escrow System

  • For certain transactions, we use an escrow system to hold funds or assets until the transaction is complete.

  • Funds are released only when both parties meet the transaction conditions.

  • Disputes will be resolved per our dispute resolution process (Section 10).

e. Fees

  • We charge fees for certain Services, such as transaction processing or currency conversion, which are disclosed at the time of the transaction.

  • You are responsible for all applicable fees, taxes, and charges.

5. User Conduct

You agree not to:

  • Use the App to engage in illegal activities, including money laundering, fraud, or unauthorized financial transactions.

  • Attempt to hack, reverse-engineer, or interfere with the App’s functionality.

  • Upload malicious code, viruses, or harmful content.

  • Misrepresent your identity or provide false information during transactions.

  • Violate intellectual property rights or third-party agreements (e.g., gift card terms of use).

Violations may result in account suspension, termination, or legal action.

6. Intellectual Property

The App, including its design, code, logos, and content, is owned by Tercescrow Inc. or its licensors and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute the App or its content without our written permission.

  • Use our trademarks, including the Tercescrow name or logo, without authorization.

  • Remove or alter any copyright or trademark notices.

You grant us a non-exclusive, royalty-free license to use any content you submit (e.g., feedback, reviews) for promotional or operational purposes.

7. Third-Party Services

The App integrates with third-party services, such as payment processors (e.g., Stripe, Paystack), verification providers, and billers. These services are subject to their own terms and policies, which you must review. We are not responsible for:

  • The availability, accuracy, or security of third-party services.

  • Losses or disputes arising from third-party actions (e.g., payment processing errors).

8. Disclaimers

  • As-Is Service: The App and Services are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • Transaction Risks: You acknowledge the risks of gift card and crypto trading, including fraud, market volatility, and regulatory changes. We do not guarantee the value or validity of traded assets.

  • Service Availability: We do not guarantee uninterrupted access to the App or Services, which may be affected by maintenance, technical issues, or force majeure events.

  • Third-Party Content: We are not responsible for the accuracy of third-party content, such as gift card terms or biller information.

9. Limitation of Liability

To the fullest extent permitted by law, Tercescrow Inc., its affiliates, and their respective officers, directors, and employees will not be liable for:

  • Indirect, incidental, consequential, or punitive damages arising from your use of the App or Services.

  • Losses due to unauthorized access, market fluctuations, or third-party actions.

  • Errors, delays, or interruptions in the App or Services.

Our total liability for any claim will not exceed the amount you paid us for the specific transaction giving rise to the claim.

10. Dispute Resolution

a. Transaction Disputes

  • If a dispute arises during a transaction (e.g., invalid gift card, failed bill payment), contact us at support@tercescrow.com within 7 days.

  • We will investigate and attempt to resolve the dispute fairly, using transaction records and our escrow system.

  • Our decision is final, subject to applicable laws.

b. Legal Disputes

  • These Terms are governed by the laws of Nigeria, without regard to conflict of law principles.

  • Any disputes arising from these Terms will be resolved through binding arbitration in Lagos, Nigeria, under the rules of the Nigerian Arbitration and Conciliation Act.

  • You waive the right to participate in class actions or class-wide arbitration.

  • Notwithstanding the above, we may seek injunctive relief in any court to protect our intellectual property or prevent harm.

11. Termination

We may suspend or terminate your account or access to the App if you:

  • Violate these Terms.

  • Engage in fraudulent or illegal activity.

  • Fail to comply with verification or payment requirements.

Upon termination, you must cease using the App, and any pending transactions may be canceled or completed at our discretion. Sections 6, 8, 9, 10, and 12 survive termination.

12. App Store Compliance

As an App Store app, we comply with Apple’s guidelines, including:

  • In-App Purchases: All payments for Services are processed securely through Apple or our third-party payment providers.

  • Content Restrictions: The App does not contain offensive, illegal, or prohibited content.

  • User Safety: We implement measures to protect user data and ensure secure transactions, as outlined in our Privacy Policy.

You must also comply with Apple’s App Store terms and conditions when downloading or using the App.

13. Changes to Services

We may modify, suspend, or discontinue any part of the App or Services at any time, with or without notice. We are not liable for any losses resulting from such changes
